两句话都正确,在意义上似乎没有什么差别。seem之后可接不定式作表语(to be happy),也可以直接接形容词作表语(happy),故很多人认为是happy前省略了to be。
1. 形容词性的过去分词或短语也可以直接作表语,说明主语的状态。例如:
Most consumers seem unconvinced that the recession is over. 大多数消费者似乎都不相信经济衰退已经过去。
She doesn't seem cut out for this tough neighbourhood. 她似乎不适合在这个治安恶劣的社区生活。
2. 如果过去分词不是形容词性质,而是与主语构成动宾关系,则 to be 不能省略。例如:
He was dazed but did not seem to be badly hurt. 他有些神志不清,但好像没受重伤。
One group of people seems to be forgotten, namely pensioners. 有一类人似乎被遗忘了,就是那些领养老金的人。

当seem后的系词be+表语为确认性表语时,to be也是不能省略的,只有归属性表语才能省略to be。例如:
It seems that he is happy. happy为归属性表语。
= He seems (to be) happy.
It seems that the man in black is Tom. Tom为确认性表语。
= The man in black seems to be Tom. 不可省略to be。
